REOH Realty LLP — Brand Name: knocKnock — Comprehensive User Acceptance Agreement

1. Preamble and Legal Status

This Comprehensive User Acceptance Agreement ("Agreement") governs your access to and use of the website www.knocknock.in, all associated digital platforms, communication channels, applications, customer relationship management systems, and related services operated by REOH Realty LLP under its brand name "Knocknock."

REOH Realty LLP (Knocknock) is a RERA-registered Channel Partner cum listing Platform providing brokerage and advisory services including property discovery, verification support, negotiation assistance, site visit coordination, transaction facilitation and other real estate related services. Knocknock is not a promoter or developer unless expressly stated in writing in relation to a specific project.

By accessing or using the Platform in any manner whatsoever, you acknowledge that you have read, understood, and agree to be bound by the terms contained in this Agreement.

2. Definitions and Interpretation

For the purpose of this Agreement, references to "Platform" shall include the website, mobile interfaces, communication systems, CRM tools, and any related digital assets operated by REOH Realty LLP. "User" shall mean any person who accesses or interacts with the Platform. "Client" shall mean a User who engages Knocknock for brokerage or advisory services. "Introduced Project" shall mean any property or development introduced, discussed, shared, or facilitated by Knocknock through any medium including but not limited to email, messaging platforms, phone calls, physical meetings, or site visits. "Developer" shall mean the promoter or entity responsible for development of a real estate project under applicable law. "Services" shall refer collectively to brokerage, advisory, facilitation, and related services offered by Knocknock.

Headings are included for convenience and shall not affect interpretation of the provisions herein.

3. Eligibility and Representations

You represent and warrant that you are at least eighteen (18) years of age, are legally capable of entering into binding contracts under the laws of India, and are not prohibited from doing so by any applicable law or judicial order. You further represent that all information provided by you is accurate, complete, and current, and that you shall promptly update any changes to such information.

Knocknock reserves the right to verify the information provided by you and to suspend or terminate access where discrepancies or misrepresentations are identified.

4. Nature of Services

Knocknock operates as a brokerage and advisory intermediary facilitating introductions and coordination between prospective buyers or investors and Developers. The Services may include curated project discovery, market analysis, comparative insights, coordination of site visits, negotiation facilitation where requested, and documentation support during the booking process.

Knocknock does not provide legal opinions, financial advisory services, tax advice, valuation certification, structural certification, or investment guarantees. Users are advised to conduct independent legal, technical, and financial due diligence prior to entering into any transaction.

5. Information Accuracy and Disclaimers

Project information displayed or communicated through the Platform is sourced from Developers, public disclosures including RERA filings, marketing materials, banking communications, and market research inputs. While Knocknock endeavors to exercise reasonable diligence in presenting information, it does not warrant the completeness, reliability, accuracy, or timeliness of any project-related information including pricing, specifications, approvals, timelines, amenities, or inventory availability.

All real estate decisions are undertaken solely at the discretion and responsibility of the User.

6. Commercial Arrangements and Disclosure

You acknowledge that Knocknock may receive brokerage commissions, marketing fees, retainers, or performance-based incentives from Developers in relation to transactions facilitated through the Platform. Such compensation structures may vary between projects and Developers. The receipt of such compensation shall not create promoter liability unless expressly agreed in writing.

Knocknock may also enter into marketing arrangements, exclusive mandates, or preferred partnerships with certain Developers without compromising its advisory positioning.

7. Non-Circumvention and Commission Protection

In consideration of the Services rendered, you agree that any Introduced Project shall remain subject to Knocknock's brokerage protection for a period of twelve (12) months from the date of introduction or last recorded communication, whichever is later. You shall not directly or indirectly bypass, avoid, or circumvent Knocknock in respect of any transaction concerning an Introduced Project.

Digital records including CRM logs, email correspondence, messaging records, and site visit documentation shall constitute valid proof of introduction and facilitation.

8. Data Protection and Processing

Knocknock processes personal data in accordance with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and other applicable regulations. Personal data collected may include identity details, contact information, communication history, preferences, browsing data, and device metadata.

Such data may be shared with Developers, banking institutions, legal facilitators, technology vendors, and compliance service providers strictly for purposes connected with the Services. Users consent to such processing and acknowledge that reasonable safeguards are implemented to protect data integrity and confidentiality.

9. Intellectual Property Rights

All trademarks, logos, service marks, proprietary methodologies, analytics frameworks, scoring models, written materials, and digital assets associated with Knocknock are owned by or licensed to REOH Realty LLP. Unauthorized copying, reproduction, distribution, or commercial exploitation of such intellectual property is strictly prohibited.

10. User Conduct and Prohibited Activities

Users agree not to engage in activities including but not limited to misrepresentation of identity, submission of false enquiries, data scraping, unauthorized system interference, harassment, or attempts to reverse engineer Platform systems. Knocknock reserves the right to suspend accounts engaging in such activities.

11. Limitation of Liability

To the fullest extent permitted by law, Knocknock shall not be liable for direct, indirect, incidental, special, or consequential damages arising from Developer defaults, construction delays, regulatory changes, market volatility, or disputes occurring after booking. In no event shall Knocknock's aggregate liability exceed the brokerage commission actually earned by it in relation to the relevant transaction.

12. Indemnity

You agree to indemnify and hold harmless REOH Realty LLP, its partners, employees, agents, and representatives from any claims, losses, damages, liabilities, or expenses arising from your breach of this Agreement, misuse of the Platform, fraudulent conduct, or violation of applicable laws.

13. Anti-Money Laundering and Compliance

Knocknock reserves the right to request identity verification documents and conduct due diligence checks in compliance with anti-money laundering regulations. Suspicious transactions may be declined or reported to appropriate authorities in accordance with applicable law.

14. Force Majeure

Knocknock shall not be liable for failure or delay in performance caused by events beyond its reasonable control including governmental restrictions, natural disasters, public health emergencies, or system outages.

15. Dispute Resolution and Governing Law

Any dispute arising out of or relating to this Agreement shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Hyderabad, Telangana, and proceedings shall be conducted in English. Subject to arbitration, courts in Hyderabad shall have jurisdiction for enforcement purposes. This Agreement shall be governed by the laws of India.

16. Modifications and Survival

Knocknock reserves the right to amend or update this Agreement from time to time. Continued use of the Platform following publication of revised terms shall constitute acceptance of such modifications. Provisions relating to intellectual property, limitation of liability, indemnity, non-circumvention, and dispute resolution shall survive termination.

17. Entire Agreement and Severability

This Agreement constitutes the entire understanding between you and REOH Realty LLP and supersedes prior communications. If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Electronic Acceptance

Acceptance of this Agreement through digital means including checkbox confirmation, OTP verification, email acknowledgment, or digital signature shall constitute legally binding consent under applicable law.
